About Us

Discover who's behind Patramarc BVBA

Marcel Le Moine holds a doctorate in economics from Erasmus University Rotterdam (Nl) and a master’s degree in commercial sciences (international relations) and didactical sciences. After a successful career as banker, magistrate and university professor, he founded Patramarc BVBA in 2006.

Thanks to his activities in the academic world, managerial mandates, presiding over joint committees and contact with the supervisors and the authorities, he has gained a profound insight in the various aspects of corporate governance (among others the Lippens code, Buysse code, Tabaksblatt code, but also the Sarbanes Oxley Act...).

Now he holds several mandates as an independent director. Marcel is also a member of Guberna. Marcel’s core competences are: interim/change management (CEO/senior executive level), coaching of senior executives and young potentials, succession planning, human resources management, strategy, reporting and audit.

Strategic decisions & implementation support

Entrepreneurship means taking risks, pursuing a vision and achieving the targets defined. Being able to check strategic decisions for the short or long term together with a competent outsider who has a broad reference frame in time and space, is quite a relief for managers or senior executives. Organisational blindness remains a reality, the market is constantly changing, the competition is rock-hard. Determining priorities is far from self-evident.

Patramarc BVBA is able to provide support for:

  • Shareholders, Board of Directors and/or responsible senior executives in preparing decisions to be taken and in structuring the implementations.
  • Setting up or adjusting new or existing organisational structures whereby the "accountability" of everyone needs to be described clearly.
  • Adjusting reporting.
  • Negotiations with financiers/bankers.
  • Managing more complex challenges, consultation with social partners, training of personnel, follow-up of budgets.

Management Support

Patramarc BVBA has a "down to earth" approach.

A lot of entrepreneurs are competent but they lack objectivity, time, sufficient permanent collaborators to lean on for important elements in the constant adjustment of each company. The practical implementation of change strategies is being supported by an outsider who is able to identify himself with the company and at the same time is able to objectively compare and test with other companies and sectors.

In consultation with the shareholder(s), we are able to facilitate the interim or crisis management, either directly or via our most competent business partners in these matters. In very exceptional cases, we are able to intensively coach the transition management for a limited period of time.

Mediation, acquisitions, sales & value assessment

 When sounding out the market, for example in case of an acquisition or the sale of a company (or a part thereof), an intermediate is able to act more discretely and anonymously. Such an approach offers a lot of tactical advantages, yielding or saving a lot of money.

When acquiring or selling enterprises, price-fixing or value determination is an extremely complex matter, with a series of objective parameters, but also subjective factors which are as important or even more important. (market position, reputation,...)

With its network of privileged national and international contacts, established over the years on various levels and mostly with people able to positively influence the action results, Patramarc BVBA is able to actually and efficiently help its clients to overcome all these difficult obstacles.

Follow-up in management is never self-evident, any new shareholder may have specific priorities diverting from the policy followed up to then. In family run companies, the founder, owner or company manager wants to leave his mark on the company’s ins and outs. Sometimes, there is no internal healthy objection at all.

A performing entrepreneur should regularly check his vision with outsiders who can provide a refreshing original contribution to the realisation of decisions with a large impact, such as the appointment of a suitable successor.

Such a crisis may have several causes, which are emerging each separately but regretfully often are combined because they are interrelated as regards cause and consequences, such as for example an unhealthy balance structure, too high a degree of debts, failing reporting, inadequate budget control, insufficient or even non existing internal control system, poorly described and assigned responsibilities.

Patramarc disposes of the competence and experience to rapidly and precisely:

  • Investigate what is going wrong and to carry out a diagnosis.
  • Formulate proposals for change. Reacting fast means there is more chance of success when restructuring the company.
  • Supporting the persons in charge when dealing with suppliers, clients and financiers of the company. These talks should be solidly substantiated, trustworthy and feasible.
  • Assess the "rescue plan" constantly and adjust any proposals and provide assistance where needed.

Independent board memberships

A company should have one or more competent and independent director(s) with of course the required profile fitting in with the company and the existing Board of Directors.

However, this is not an easy job. Neither for the company in finding any such person, nor for the director concerned wishing to seriously carry out his task, taking into account the rules of sound management and the legal stipulations regarding general and specific responsibilities of company directors.

The same goes for the company’s representation in the Board of Directors of a daughter company or when monitoring participations.

In both cases, solid discussions will be held to determine what is expected from Patramarc and to determine in consultation whether the mandate will fit within the framework of our competence or not.
